Introduction

Welcome to ReviewLens, a product provided by MyPay LLC (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the ReviewLens platform (the “Service”), which helps businesses manage their online reputation, engage with customers, and enhance their digital presence. By using ReviewLens, you (“Client” or “you”) agree to be bound by these Terms, along with any additional agreements, such as an order form (“Order Form”) or statement of work (“Statement of Work”), entered into with MyPay LLC. 1. Services Provided by ReviewLens

ReviewLens offers a subscription-based service through its online platform (the “Subscription Service”) and may provide additional professional services to assist with setup and implementation (the “Professional Services”). Together, these are referred to as the “Services.” The specifics of your access to the Services will be outlined in an Order Form or Statement of Work. You acknowledge that onboarding and implementation may require up to 2 hours over a 4-week period. Your timely cooperation during this process is essential to ensure successful delivery of the Services. Delays on your part will not alter the term of any agreement or justify non-payment or cancellation.

2. Automatic Renewal and Innovation Fee

Unless otherwise specified in an agreement signed before March 1, 2025, or one that modifies this provision, your subscription will automatically renew at the end of each term with Full Price. This fee will automatically apply to all Services active at the time of renewal and will be reflected in your annual invoice, payable as per the payment terms in your Order Form or Statement of Work.

3. ReviewLens Payments

If you use ReviewLens Payments, you agree to comply with the Stripe Terms of Service (available at https://stripe.com/ssa). MyPay LLC uses Stripe as its payment processor, and you are responsible for adhering to their policies in addition to these Terms.

4. Restrictions on Use of the Service

While using ReviewLens, you agree not to:

Solicit Reviews in Violation of Third-Party Policies: You will comply with the rules of platforms like Yelp that prohibit soliciting reviews, either directly or through a third party. You may not misuse ReviewLens to circumvent such policies.
Non-Compliance with Third-Party Policies: If you attempt to bypass the terms of third-party review platforms, MyPay LLC will notify you and provide 30 days to correct the issue. Failure to comply may result in suspension of your ReviewLens account.
TCPA Compliance: Both parties will adhere to the Telephone Consumer Protection Act (47 U.S.C. § 227) where applicable. You are solely responsible for obtaining proper consent for any messaging conducted through ReviewLens.

5. Intellectual Property and Licenses

5.1 Ownership

MyPay LLC retains all rights, title, and interest in the ReviewLens platform, including its software, design, and content (collectively, “ReviewLens Content”). These Terms do not grant you ownership of any intellectual property rights in the Service.

5.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use ReviewLens for your business purposes during the term of your subscription. You may not sublicense, modify, or distribute the Service without our prior written consent.

5.3 User Content

You may upload content such as text, images, or customer data (“User Content”) to ReviewLens. You retain ownership of your User Content and grant MyPay LLC a worldwide, non-exclusive, royalty-free license to use, store, and process it solely to provide the Services.

6. Fees and Payment

You agree to pay all fees specified in your Order Form or as otherwise communicated by MyPay LLC. Payments are due according to the agreed-upon schedule. If you fail to pay on time, we may:

Charge a late fee of 1% per month (or the maximum allowed by law) on the unpaid balance.
Suspend your access to ReviewLens until payment is received.

Suspension does not relieve you of your payment obligations.

7. Term and Termination

7.1 Term

These Terms take effect when you begin using ReviewLens and continue until terminated as outlined below.

7.2 Termination

By You: You may terminate your subscription by providing written notice as specified in your Order Form.
By Us: We may terminate or suspend your access to ReviewLens immediately if you breach these Terms, fail to pay fees, or misuse the Service.
Effect of Termination: Upon termination, you must cease using ReviewLens, and we will stop providing the Services. Any fees owed remain payable.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared during the use of ReviewLens and to use it only to fulfill obligations under these Terms.

9. Disclaimers and Limitation of Liability

9.1 Disclaimers

ReviewLens is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

9.2 Limitation of Liability

To the fullest extent permitted by law, MyPay LLC’s total liability for any claim arising from these Terms or your use of ReviewLens will not exceed the fees you paid in the 12 months prior to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data.

10. Indemnification

You agree to indemnify and hold MyPay LLC, its officers, directors, and employees harmless from any claims, damages, or losses arising from your misuse of ReviewLens, violation of these Terms, or infringement of third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in Middlesex County, New Jersey.

12. Changes to Terms

MyPay LLC may update these Terms at any time by posting the revised version at https://reviewlens.ai/terms. Changes take effect upon posting, and your continued use of ReviewLens constitutes acceptance of the updated Terms.
